These Terms of Service (“Terms”) govern your access to and use of Clarvo’s website, products, and services (“Services”), operated by Clarvo (“we”, “us”, or “our”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

1. Overview of Services

Clarvo provides an AI-powered receptionist and scheduling platform designed to handle business calls, bookings, and customer interactions. The Services may include:

Voice-based call answering and appointment scheduling;

Lead capture and client management tools;

Dashboard access for call logs, transcripts, and analytics;

Integration with third-party applications or APIs.

Clarvo may modify, enhance, or discontinue any aspect of the Services at its sole discretion, provided such changes do not materially degrade the functionality you rely on.


2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Services.

By using the Services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.


3. Account Registration and Security

To access certain features, you may be required to create an account. You agree to:

Provide accurate and current information;

Maintain the confidentiality of your login credentials;

Notify us immediately of unauthorized access or security breaches.

You are responsible for all activity conducted under your account. Clarvo will not be liable for any loss resulting from your failure to secure your account credentials.


4. Use of Services

You agree to use the Services only for lawful business purposes and in compliance with all applicable laws and regulations, including:

Privacy and consent laws (PIPEDA, GDPR, CCPA, etc.);

Telecommunication regulations governing voice and call recording;

Spam and marketing laws (e.g., CASL, CAN-SPAM).

You must not:

Use Clarvo for unlawful, fraudulent, or abusive purposes;

Interfere with or disrupt the platform’s operation or security;

Copy, reverse-engineer, or attempt to extract proprietary code or systems;

Misrepresent your identity or affiliation.

Clarvo reserves the right to suspend or terminate accounts that violate these Terms.


5. Customer Data and Privacy

Clarvo’s handling of personal and business data is governed by our Privacy Policy


You retain ownership of your data, including call logs, recordings, and customer information. By using our Services, you grant Clarvo a limited, non-exclusive, and revocable license to process and store data solely to operate and improve the Services.

Clarvo will not sell or disclose your data to third parties except as permitted by the Privacy Policy or required by law.


6. Call Recordings and Transcripts

Clarvo may record or transcribe calls for quality assurance, analytics, or service improvement.

You are responsible for ensuring callers are notified or have provided consent where required by law.

By using our AI receptionist and call-handling tools, you confirm that you have obtained all necessary permissions for Clarvo to process such data on your behalf.


7. Integrations and Third-Party Services

Clarvo may integrate with third-party platforms (e.g., Google Calendar, HubSpot, or Telnyx).

Use of those integrations is subject to their respective terms and policies.

Clarvo is not responsible for the actions, reliability, or privacy practices of third-party services.


8. Payment, Subscriptions, and Cancellation

Access to certain Services may require a paid subscription.

By subscribing, you agree to:

Pay all fees associated with your chosen plan;

Authorize Clarvo to charge your payment method on a recurring basis;

Maintain valid billing information.

You may cancel your subscription at any time through your account or by contacting support@clarvo.ca


Cancellations take effect at the end of the current billing period. Fees paid are non-refundable, except as required by law.

Clarvo reserves the right to change pricing, with notice provided prior to renewal.


9. Intellectual Property

All intellectual property rights in Clarvo’s software, platform, trademarks, and branding remain the exclusive property of Clarvo.

You may not reproduce, distribute, or modify any part of the Services without prior written consent.

You retain rights to your business content and customer data uploaded or processed through the platform.


10. Service Availability and Maintenance

Clarvo strives to maintain continuous service availability but does not guarantee uninterrupted or error-free operation.

We may perform scheduled maintenance, implement updates, or suspend access for technical or legal reasons.

Clarvo is not responsible for service interruptions caused by external providers, internet outages, or third-party integrations.


11. Limitation of Liability

To the maximum extent permitted by law:

Clarvo and its affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, revenue, or data.

Clarvo’s total aggregate liability shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

These limitations apply even if we were advised of the possibility of damages.


12. Warranties and Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied.

Clarvo expressly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.

We make no guarantees regarding:

Accuracy or reliability of AI-generated responses;

Compatibility with all systems or browsers;

Results or outcomes achieved through use of the Services.


13. Indemnification

You agree to indemnify and hold Clarvo, its officers, employees, and partners harmless from any claims, damages, or expenses arising from:

Your use or misuse of the Services;

Violation of these Terms;

Violation of applicable laws, including privacy and telecommunication regulations.


14. Termination

Clarvo may suspend or terminate your access at any time, with or without notice, if:

You violate these Terms;

Required by law or government request;

Your use poses security or operational risks.

Upon termination, your right to use the Services ceases immediately, but Sections 5, 9, 11, 12, and 13 will survive termination.


15. Governing Law

These Terms shall be governed by and construed under the laws of the Province of British Columbia, Canada, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the provincial or federal courts located in British Columbia, Canada.


16. Changes to These Terms

Clarvo reserves the right to update these Terms at any time.

When changes are made, we will update the “Last Updated” date above. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
